Client Fee Agreement

  • The Client hereby hires Daily General Counsel, PLLC, ("DailyGC™") to perform a full business day of General Counsel Services, upon the following terms and conditions:
    1. As DailyGC™ has received the sum of $750 as a retainer, DailyGC™ will provide General Counsel Services for the Client on the date and at the place set forth above. The full amount to be paid by the Client under this Agreement is $1,500. This leaves a balance of $750, which the Client will pay when the lawyer arrives at the Client's place of business. The Client is not responsible for any travel, communication, legal research usage fees, parking and meal costs incurred by DailyGC™ in performing General Counsel Services for the Client.
    2. As used in this Agreement, the phrase "General Counsel Services" means the rendering of legal services by a knowledgeable and experienced lawyer who previously has worked in a full-time position as in-house counsel for a business. The lawyer will be qualified to review and discuss with the Client legal issues and legal-related business issues concerning the Client's sales, operations and administration. No later than 2 business days before the scheduled date, the Client should complete and submit to DailyGC™ the Priority Issues Identifier Form™, so that the lawyer can anticipate and plan the day in a way that will be most responsive, productive and valuable for the Client.
    3. The General Counsel Services provided by DailyGC™ constitute Limited Assistance Representation, and the Client acknowledges that, in consideration of the pricing and expedience of the advice rendered and work performed, DailyGC's™ work will be based exclusively upon the information and documents provided by the Client, without comprehensive and independent investigation, inquiry and research by DailyGC™, and will be completed upon the end of the scheduled date, without further obligation by the Client or by DailyGC™ beyond the scheduled date. Follow-up legal counsel, if requested by the Client, will be made available at a date, time and hourly rate that are mutually agreed upon by the lawyer and the Client.
    4. As used in this Agreement, the phrase "full business day" means that the lawyer will arrive at the Client's Address no later than 8:30 a.m., will be provided at least 30 minutes for a lunch break, and will leave the Client's Address no later than 5:00 p.m. Before arriving, the lawyer will review the Client's Priority Issues Identifier Form™ and may contact the Client (most typically by email) for clarification or for other planning purposes. Following the day of General Counsel Services, the lawyer will email to the Client a Confidential Memorandum summarizing the General Counsel Services that were rendered. The Client authorizes DailyGC™ to store Client’s documents on Internet-based servers that meet modern encryption and commercial security standards and to transmit Client’s information by means of email and the Internet. The Client acknowledges its understanding that the fee of DailyGC™ is established on a "per day" basis, and if the Client completes all of its work with the lawyer before the end of a full business day, or if the lawyer is unable to complete in a full business day all of the items that the Client had hoped to address, DailyGC™ nonetheless has earned its full fee under this Agreement.
    5. With the payment of the retainer, a lawyer from DailyGC™ has reserved the specific date selected by the Client for the exclusive benefit of the Client, to the exclusion of other clients and potential clients of DailyGC™. If the Client wishes to cancel this Agreement or reschedule the date, and if another client retains the services of the lawyer from DailyGC™ on the Client's originally scheduled date, then the full retainer will be refunded to the Client.
    6. In the event that the lawyer from DailyGC™ seeks to reschedule for any reason the specific date selected by the Client, the Client will have the option of rescheduling to a new date or receiving a full refund of the retainer paid.
    7. DailyGC™ and the Client acknowledge that no results have been guaranteed by DailyGC™ to the Client and that this Agreement is not based upon any such promises or anticipated results.
    8. If the Client and DailyGC™ are unable to resolve their differences on the question of any fee, they hereby agree to make a good faith effort at resolving their dispute. If the dispute cannot be resolved, the Client and DailyGC™ agree to place the matter before the Legal Fee Arbitration Board of the Massachusetts Bar Association and agree to be bound by the decision.
    CLIENT UNDERSTANDS AND ACKNOWLEDGES THAT NO GENERAL COUNSEL SERVICES WILL BE PERFORMED PURSUANT TO THIS AGREEMENT UNTIL THE RETAINER SET FORTH IN PARAGRAPH 1 IS PAID IN FULL.
